REMOTE SUPPORT AGREEMENT
IMPORTANT INFORMATION
iT-Assist Inc. provides remote support services to new and existing clients and our remote support tool allows us to provide assistance remotely to better identify and possibly resolve issues. Remote Support Tool is one of the initial method to assess the current situation and condition of the client’s hardware and while in many situations, those issues may be resolved using remote support tools, the client needs to be aware that not all situations are ideal for remote support and therefore in such situations, we do not offer any guarantee on such support. Therefore, it is important to note that there are times where remote support alone will not be enough to resolve the issue and in addition to the remote support, a systems or network engineer will need to physically work on your computer and or network systems hardware to resolve the issue. Further, for non-contractual clients, the hourly rate for using remote support service is $100.00 and will be billed to your credit card upfront. The initial amount is charged prior to starting the remote session and the client will be required to pay additional hour upfront after the end of the first hour to continue remote support services. Now, it is also important to note that in situations where the remote support has identified that a premise or physical visit is required to provide additional support to your technology infrastructure, any invoices that exceeds $500.00 before taxes on premise support services will receive credit for all the remote support services charges towards the total invoice. In such situations, the total invoice due will reflect deduction of all previous remote support service charges as a one-time courtesy credit to new clients. Finally, no guarantee is offered or implied for remote support sessions however if the client hires iT-Assist Inc. for the same issue on a premise (physical) visit then we offer 30 day guarantee on all our work and should any of our work fail to meet the resolution of the issue then we will fix it for FREE!
END-USER LICENSE AGREEMENT
TERMS, CONDITIONS & ACCEPTABLE USE POLICY
IMPORTANT PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE CONTINUING WITH THIS PROGRAM INSTALL
iT-Assist Inc. also known as ITA Inc. is authorized by Citrix product known as GoToAssist.com also abbreviated for this agreement as GTA to make available to its customers of iT-Assist Inc. Remote Support Services pursuant to this Agreement. iT-Assist Inc.’s End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and iT-Assist Inc. (“Licensor”) for the iT-Assist Inc. which may include associated software components, media, printed materials, and "online" or electronic documentation. By installing, copying, or otherwise using GTA, you agree to be bound by the terms of this EULA. This license agreement represents the entire agreement concerning GTA between you and Licensor. It supersedes any prior proposal, representation, or understanding between the parties. If you do not agree to the terms of this EULA, do not install or use GTA. By agreeing to the terms below you hereby authorize Licensor to remotely access your computer system and data thereon through your computer(s) to provide support services to you and your organization upon your specific request. GTA allows Licensor to temporarily operate and take control of your computer for purposes of evaluating reported support problems. Licensor may record and securely store support problems and data relative to the use of GTA. You will be in full control of your computer at all times. You will have the option of ending the remote session at any time. Once a remote session is ended, Licensor cannot re-establish the connection without your permission/intervention. GTA unattended session is only available to current clients of iT-Assist Inc. or to individuals and entities who have signed a release form permitting unattended access to your computer systems. GTA is protected by United States copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. GTA is licensed, not sold to you for your use. 1. GRANT OF LICENSE. iTA Inc.-GTA is licensed as follows: (a) Installation and Use. ITA Inc. grants you the right to install and use GTA on your computer running a validly licensed copy of the operating system for which GTA was designed [e.g., Windows, Linux and Mac Operating Systems] to operate. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS. • (a) Maintenance of Copyright Notices. •You must not attempt to modify GTA or use it for any other unintended purpose. You may not remove or alter any copyright notices on any and all copies of GTA. • (b) Distribution. •You may not distribute registered copies of the GTA to third parties. • (c) Prohibition on Reverse Engineering, De-compilation, and Disassembly. •You may not reverse engineer, decompile, or disassemble GTA, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. • (d) Rental. •You may not rent, lease, or lend the GTA. • (e) Support Services. iT-Assist Inc. may provide you with Support Services through and related to GTA. Any supplemental software code provided to you as part of the Support Services shall be considered part of iTA Inc.-GTA and is subject to the terms and conditions of this EULA. • (f) Compliance with Applicable Laws. •You must comply with all applicable laws regarding use of iTA Inc.-GTA. 3. TERMINATION •Without prejudice to any other rights, iT-Assist Inc. may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the GTA in your possession. 4. COPYRIGHT•All title, including but not limited to copyrights, in and to GTA and any copies thereof are owned by GoToAssist.com or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of GTA is the property of the respective content owner and is protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by the owner and Licensor. 5. NO WARRANTIES•iT-Assist Inc. expressly disclaims any warranty for GTA. GTA is provided 'As Is' without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, non-infringement, or fitness of a particular purpose. iT-Assist Inc. does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within GTA. iT-Assist Inc. makes no warranties respecting any harm that may be caused by the use of GTA including the loss of data, transmission of a computer virus, worm, time bomb, logic bomb, or other such computer defect or problem. iT-Assist Inc. further expressly disclaims any warranty or representation to Authorized or unauthorized Users or to any third party. 6. LIMITATION OF LIABILITY•In no event shall Licensor be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of 'Authorized Users' use of or inability to use GTA, even if Licensor has been advised of the possibility of such damages. In no event will Licensor be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. Licensor shall have no liability with respect to the content of GTA or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information. 7. LIMITATION OF SERVICES• GTA has been developed and designed to provide remote access and support of iT-Assist Inc. and third party products and services. iT-Assist Inc. and GTA may be utilized to support third party services including but not limited to (Operating System upgrades, printers, network equipment not sold by iT-Assist Inc., anti-virus software, etc). 8. PAYMENT OF SERVICES• All payment must be made prior to commencing remote support sessions and client will be required to pay additional hour at the end of first hour in order for the remote support services to continue. The rate of non-contractual client is $100.00 per hour and billed in 60 minutes increment. 9. PRIVACY POLICY• Please visit our webpage to view our privacy policy terms and conditions.
